Terms of Service

Effective date: July 10, 2026

These Terms of Service (these "Terms") are a binding agreement between you ("Customer," "you") and LeonAI LTD, registered at Avraham Pachornik 17, Ness Ziona, Israel, company registration number 516916954 ("LeonAI," "we," "us"). These Terms govern your access to and use of the LeonAI Links service, including the LeonAI Domains (defined below), the dashboard, the REST API, QR code generation, link-in-bio pages, webhooks, and all related features (collectively, the "Service").

1. Acceptance and Eligibility

By creating an account, clicking "I agree," or using the Service, you accept these Terms. You must be at least 16 years of age and have the legal capacity to enter into a binding contract. If you use the Service on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and "Customer" refers to that entity. If you do not agree to these Terms, do not use the Service.

2. Definitions

• "Service" means the LeonAI Links platform described above, including all software, infrastructure, documentation, and features made available by LeonAI.
• "LeonAI Domains" means the domains through which LeonAI delivers the Service: the marketing site, the customer dashboard, the REST API, and the Shared Short-Link Domain, being the LeonAI-operated domain on which Short Links resolve unless the Customer uses a custom domain. As of the effective date the Shared Short-Link Domain is short.leonai.io. LeonAI may change or add hostnames; the current list is published on the Service.
• "Short Link" means a shortened URL generated through the Service, whether on a Shared Short-Link Domain or a Customer-provided custom domain, together with its associated short code, QR code, and configuration.
• "Destination URL" means the target web address to which a Short Link redirects, as designated by Customer.
• "Customer Content" means all content submitted to the Service by or on behalf of Customer, including Destination URLs, link titles and tags, link-in-bio page content, uploaded images and logos, custom domain names, and metadata.
• "End User" means any person who clicks, scans, or otherwise follows a Short Link.

3. Account Registration and Security

You must provide accurate, complete registration information and keep it current. You are responsible for maintaining the confidentiality of your credentials and API keys, and for all activity that occurs under your account, whether or not authorized by you. You must notify us promptly at care@leonai.io of any suspected unauthorized access. LeonAI is not liable for losses arising from unauthorized use of your account resulting from your failure to safeguard credentials.

4. Description of the Service; Plans and Limits

The Service enables Customers to create Short Links, generate QR codes, connect custom domains, view click analytics (including IP-derived geographic location, device, browser, referrer, and UTM parameters), build link-in-bio pages, collaborate in teams, and integrate programmatically via the REST API and webhooks.

The Service is offered in four subscription tiers. The following table summarizes key limits:

Password-protected links and link expiration are available on Pro and above; A/B testing and SSO on Business and above; white-label features on Enterprise. Tier limits are enforced programmatically by the Service. The current, authoritative limits and prices are published on the pricing page at leonai.io and may be updated in accordance with Section 5.

5. Subscriptions, Billing, and Taxes

Billing. Paid subscriptions are billed in advance, monthly or annually, through our payment provider, Sumit. Annual plans receive a 20% discount. By providing a payment method, you authorize us to charge all fees due.

Trial. New Customers may receive a 14-day free trial of the Pro tier. No credit card is required, and you will not be automatically charged; at the end of the trial your account converts to the Free tier unless you purchase a subscription.

Upgrades and downgrades. Upgrades take effect immediately, with a prorated charge for the remainder of the current billing period. Downgrades take effect at the end of the current billing period. Effects of downgrades on Short Links, custom domains, and analytics are described in the Refund and Cancellation Policy (refund-cancellation-policy.md).

Price changes. We will provide at least 30 days' notice before any price increase, which will apply from your next billing period after the notice period. You may cancel before the new price takes effect.

Taxes. Fees are exclusive of taxes. You are responsible for all applicable sales, use, VAT, GST, and similar taxes, other than taxes on LeonAI's net income.

Refunds and cancellation are governed by the Refund and Cancellation Policy (refund-cancellation-policy.md), which is incorporated into these Terms.

6. Customer Content and Short Links

Responsibility. Customer is solely responsible for all Customer Content, including every Destination URL, and for the content, legality, and safety of the pages to which Short Links resolve. LeonAI acts solely as an intermediary and technical conduit that redirects End Users to Destination URLs designated by Customer. LeonAI does not create, endorse, or assume responsibility for any Destination URL or its content.

License to LeonAI. Customer grants LeonAI a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process Customer Content solely as necessary to operate, secure, and improve the Service, to perform redirects, and to comply with law. Customer retains all ownership rights in Customer Content.

Warranty. Customer represents and warrants that it has all rights necessary to submit Customer Content and that Customer Content and Destination URLs comply with these Terms, the Acceptable Use Policy, and applicable law.

7. Acceptable Use

Your use of the Service is subject to the LeonAI Acceptable Use Policy (acceptable-use-policy.md), which is incorporated into these Terms by reference. In summary, and without limitation, you must not use the Service to distribute phishing pages, malware, or spam; to deceive or defraud End Users; or to link to unlawful content. Violation of the Acceptable Use Policy is a material breach of these Terms.

8. Link Scanning, Moderation, and Enforcement

To protect End Users and the integrity of the Service, LeonAI may, but is not obligated to, scan Destination URLs using automated malware and phishing detection, including third-party safe-browsing services, heuristics, and machine-learning systems. LeonAI may, in its discretion: (a) display an interstitial warning page to End Users before completing a redirect; (b) disable or delete any Short Link; and (c) suspend or terminate any account, in each case without prior notice where LeonAI reasonably believes the Short Link or account presents severe abuse, an ongoing security threat, or legal risk. Scanning does not constitute review, approval, or endorsement of any Destination URL, and does not relieve Customer of its responsibilities under Section 6.

9. Short Codes and Domain Ownership

All short codes, and all URLs on the Shared Short-Link Domain and other LeonAI-operated shared domains, are the property of LeonAI and are licensed to you, not sold. LeonAI may reclaim, reassign, or deactivate short codes and shared-domain URLs upon termination of your account, after extended inactivity as described in Section 11, where a short code infringes third-party trademark or other rights, or where required to prevent abuse or comply with law.

10. Custom Domains

If you connect a custom domain, you represent and warrant that you own the domain or are authorized to use it with the Service. You are responsible for maintaining your domain registration and configuring DNS records as instructed. LeonAI is not responsible for redirect failures caused by your DNS configuration, domain expiration, or registrar actions.

11. Inactive Free Accounts

For accounts on the Free tier, LeonAI reserves the right to deactivate Short Links associated with accounts that have been inactive (no logins and no API activity) for [12] consecutive months. We will provide at least 30 days' notice by email to the address on file before deactivation.

12. Intellectual Property; Feedback

LeonAI and its licensors retain all right, title, and interest in and to the Service, including all software, designs, trademarks, and documentation. No rights are granted except as expressly stated in these Terms. If you provide suggestions or feedback, you grant LeonAI a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or obligation to you.

13. Privacy and Data Protection

Our collection and use of personal data, including End User click data, is described in the Privacy Policy (privacy-policy.md) and Cookie Policy (cookie-policy.md). Where LeonAI processes personal data on your behalf as a processor, the Data Processing Agreement (dpa.md) applies and is incorporated into these Terms for Customers who require it.

14. API Use

Use of the REST API, API keys, webhooks, and developer integrations is additionally governed by the Developer Terms of Service (developer-terms.md). API rate limits are tier-based as described in Section 4.

15. Third-Party Services

The Service interoperates with third-party services, including Sumit (payments), safe-browsing providers, and integration platforms. Your use of third-party services is governed by their own terms, and LeonAI is not responsible for third-party services.

16. Beta Features

We may offer features identified as alpha, beta, preview, or similar ("Beta Features"). Beta Features are provided "AS IS," may be modified or discontinued at any time, may be subject to additional terms, and are excluded from any SLA and support commitments.

17. DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEONAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LEONAI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DESTINATION URL IS SAFE OR LAWFUL. LEONAI TARGETS 99.9% UPTIME FOR NON-ENTERPRISE PLANS, BUT THIS TARGET IS NOT A WARRANTY AND CARRIES NO SERVICE CREDITS. FOR ENTERPRISE CUSTOMERS, REDIRECT AVAILABILITY COMMITMENTS ARE GOVERNED EXCLUSIVELY BY THE SERVICE LEVEL AGREEMENT (sla.md).

18. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) LEONAI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES ACTUALLY PAID BY CUSTOMER TO LEONAI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, FOR FREE-TIER CUSTOMERS, ONE HUNDRED U.S. DOLLARS ($100)). THESE LIMITATIONS DO NOT APPLY TO CUSTOMER'S INDEMNIFICATION OBLIGATIONS, EITHER PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT BE LIMITED BY LAW. ANY REMEDY FOR REDIRECT DOWNTIME IS AVAILABLE ONLY TO ENTERPRISE CUSTOMERS UNDER THE SLA (sla.md).

19. Indemnification

Customer will defend, indemnify, and hold harmless LeonAI, its affiliates, and their officers, directors, employees, and agents from and against any third-party claims, demands, and proceedings, and all resulting damages, fines, costs, and reasonable attorneys' fees, arising out of or related to: (a) any Destination URL or other Customer Content, including claims by End Users harmed by content reached through Customer's Short Links; (b) Customer's violation of these Terms, the Acceptable Use Policy, or applicable law; or (c) Customer's use of custom domains without authority. LeonAI will provide prompt notice of the claim and reasonable cooperation at Customer's expense, and may participate in the defense with its own counsel.

20. Term, Suspension, and Termination

Term. These Terms apply from your first use of the Service until your account is closed.

Suspension. LeonAI may suspend the Service or disable Short Links immediately where reasonably necessary to address security threats, legal exposure, abuse, or non-payment.

Termination for cause. Either party may terminate for material breach not cured within 30 days of notice; LeonAI may terminate immediately for violations of the Acceptable Use Policy or for severe abuse.

Termination for convenience. You may cancel at any time as described in the Refund and Cancellation Policy. LeonAI may terminate Free-tier accounts for convenience on 30 days' notice.

Effect of termination. Upon termination, all Short Links on shared LeonAI domains stop redirecting, and your license to short codes ends. You may export your links and analytics data for 30 days following termination, after which LeonAI may delete Customer Content in accordance with the Privacy Policy. Sections that by their nature should survive (including Sections 12, 17, 18, 19, 22, and 24) survive termination.

21. Modifications to These Terms

We may modify these Terms with at least 30 days' notice before the changes take effect, posted at leonai.io and, for material changes, emailed to the address on your account. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and may cancel before the changes take effect.

22. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Israel, excluding its conflict-of-laws rules. The competent courts of Tel Aviv-Yafo have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and each party consents to personal jurisdiction there.

Your local consumer rights still apply. If you are a consumer resident in the European Economic Area, the United Kingdom, or another jurisdiction whose law gives you non-waivable protections, nothing in this Section removes them: you keep the benefit of the mandatory consumer-protection rules of your country of residence, including any right to bring proceedings in your local courts.

No arbitration requirement. Disputes are resolved in court as set out above. LeonAI does not require you to arbitrate, and you do not waive any right to participate in a class or representative action.

23. Export Controls and Sanctions

You may not use the Service in violation of applicable export-control or sanctions laws, and you represent that you are not located in an embargoed jurisdiction and are not on any restricted-party list.

24. Miscellaneous

Assignment. You may not assign these Terms without LeonAI's prior written consent; LeonAI may assign them in connection with a merger, acquisition, or sale of assets.

Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect.

Entire agreement. These Terms, together with the documents incorporated by reference, are the entire agreement between the parties regarding the Service and supersede prior agreements on the subject.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including internet or upstream provider failures, DDoS attacks, natural disasters, and governmental action.

Order of precedence. In case of conflict: a signed Enterprise master services agreement prevails over the DPA, which prevails over these Terms, which prevail over the incorporated policies (including the Acceptable Use Policy, Cookie Policy, DMCA / Copyright Policy (dmca-copyright-policy.md), and Refund and Cancellation Policy).

No waiver. Failure to enforce a provision is not a waiver.
